Welcome to Yoga with Lisa AI and our related websites, apps, and digital platforms that link to these Terms (collectively, the "Site"), owned and operated by Yoga with Lisa by Lisa Eshun-Wilson & Associates, LLC ("Yoga with Lisa," "we," "us," or "our"). These terms and conditions (the "Terms") govern your use of the Site and our services, applications, and content, including our on-demand class library, live classes, membership portal, student wellness programs, private sessions, retreats, and corporate wellness offerings (collectively, the "Services").
PLEASE CAREFULLY REVIEW THE ARBITRATION PROVISION SET FORTH IN THE "ARBITRATION AND DISPUTE RESOLUTION" SECTION BELOW, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION. BY VIRTUE OF YOUR USE OF THE SITE AND SERVICES, YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND UNDERSTOOD THE ARBITRATION AND DISPUTE RESOLUTION AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE CONSEQUENCES OF THIS IMPORTANT DECISION.

Our student wellness programs for minors are administered through institutional partnerships such as schools and are subject to applicable educational privacy laws including FERPA and COPPA. To purchase Services or access our membership portal or on-demand library, you must complete registration and provide your name and email address, and may be asked for additional contact information. You agree to provide accurate, complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to use a strong password, keep your password confidential, and not share it with anyone. Please contact us immediately at contact@yogawithlisa.ai if you become aware of any unauthorized use of your account. You may not create more than one account.
We may, in our sole discretion, without liability, and without notice to you, immediately suspend, limit, and/or terminate your access to the Site, the Services, and/or your account for any reason, including if we believe you have violated these Terms or any applicable laws; at the request of law enforcement or courts; if you ask us to close your account; if we discontinue or materially modify the Site or Services; or if we believe your access poses a risk to us, our affiliates, or other users. Upon any termination, you will lose the right to access and use the Site and Services. Any suspension or termination shall not affect your obligations to us under these Terms.
Yoga with Lisa offers class packages, memberships, private sessions, student wellness programs, and corporate wellness packages. All pricing is displayed at the time of purchase and is subject to change. Your order is subject to cancellation at our discretion. Unless otherwise agreed, payment must be received prior to access being granted.
All sales are final unless otherwise stated at the time of purchase. If you experience a technical issue that prevents access to purchased content, please contact us at contact@yogawithlisa.ai within 7 days of purchase and we will work to resolve it.
We will collect applicable sales tax where required by law. You are responsible for any taxes associated with your purchase not collected by us.
For school, corporate, or institutional wellness packages, specific terms will be outlined in a separate agreement or purchase order. Those terms supplement and, where applicable, supersede these general Terms.
Yoga with Lisa's classes, content, and programs are intended for general wellness and educational purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment. Always consult your physician or qualified healthcare provider before beginning any yoga, movement, or wellness program, particularly if you have a pre-existing medical or mental health condition. By participating in our classes or programs, you acknowledge that yoga involves physical activity and that you assume all associated risks. IF YOU ARE EXPERIENCING A MEDICAL OR MENTAL HEALTH EMERGENCY, CALL 911 OR YOUR HEALTHCARE PROVIDER IMMEDIATELY.
Our student wellness programs are designed to support mental health and stress management as a complementary resource and are not intended to replace licensed counseling, therapy, or clinical mental health services.
All content on the Site, including class videos, guided meditations, written materials, graphics, logos, program names (including MindShift), and the Yoga with Lisa brand (collectively, "Content"), is owned by or licensed to Yoga with Lisa by Lisa Eshun-Wilson & Associates, LLC and is protected by applicable copyright, trademark, and intellectual property laws. You acquire no ownership interest by accessing or using the Site, Services, or Content.
You are granted a limited, personal, non-transferable license to access and use Content for your own personal wellness purposes only. You may not copy, reproduce, modify, distribute, sell, or create derivative works from any Site content without our prior written permission.
By submitting suggestions or other feedback regarding the Site or Services, you agree that we may use and share such feedback for any purpose without compensation to you.
The Site and Services may be used only for lawful purposes and for your personal or authorized professional use. In accessing and using the Site, Services, and any Content, you agree that you will NOT:

If you submit testimonials, reviews, photos, videos, comments, or other content to the Site or our social media channels (collectively, "User Content"), you grant Yoga with Lisa a perpetual, royalty-free, worldwide license to use, display, reproduce, and distribute that content for marketing, promotional, and operational purposes, with or without attribution. You represent that you own or have the right to submit the User Content and that it does not infringe any third-party rights. Yoga with Lisa reserves the right to remove any User Content at its sole discretion.
With your consent, we may send you text messages and emails about class schedules, new content, wellness tips, membership updates, and promotions. You may opt out at any time by replying STOP to any text message or following the unsubscribe instructions in any email. Message and data rates may apply.
We take commercially reasonable measures to secure and protect information transmitted to and from the Site. Nevertheless, we cannot guarantee that any such transmissions are or will be totally secure. You are responsible for maintaining the confidentiality of your account credentials and for notifying us immediately if you discover unauthorized access to your account.
You are responsible for acquiring and maintaining compatible hardware, software, or devices necessary to access and use the Site and Services. We do not guarantee that the Site or Services will function on any particular hardware, software, or device. The Site and Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE SITE, SERVICES, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOGA WITH LISA AND ITS OWNERS, EMPLOYEES, AND AFFILIATES (THE "LEWA PARTIES") EXPRESSLY DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND GUARANTEES OF ANY KIND, INCLUDING: (A) WARRANTIES THAT THE SITE, SERVICES, AND/OR CONTENT WILL MEET YOUR REQUIREMENTS; (B) WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, SECURITY, USEFULNESS, OR TIMELINESS OF THE SITE, SERVICES, AND/OR CONTENT; (C) WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE; (D) WARRANTIES THAT YOUR USE WILL BE SECURE OR UNINTERRUPTED; AND (E) WARRANTIES THAT THE SITE, SERVICES, AND/OR CONTENT WILL BE ERROR-FREE.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SITE OR SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. DISCONTINUATION OF USE OF THE SITE AND SERVICES IS YOUR SOLE RIGHT AND REMEDY FOR ANY DISSATISFACTION WITH THE SITE, SERVICES, OR CONTENT.
TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL THE LEWA PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF USE, DATA LOSS, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE, SERVICES, OR ANY CONTENT. YOUR SOLE REMEDY, AND OUR AGGREGATE LIABILITY IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE, SERVICES, AND CONTENT, SHALL IN ALL EVENTS BE LIMITED TO ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless Yoga with Lisa and its owners, employees, and affiliates (the "LEWA Parties") from any and all claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (i) your use of the Site, Services, or Content; (ii) your breach or violation of any of these Terms; or (iii) your violation of any applicable law or the rights of any third party.
PLEASE READ THIS SECTION CAREFULLY — IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Site or Services (collectively, "Disputes") will be resolved exclusively by final, binding arbitration between you and us, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
The arbitration shall be administered by JAMS (Judicial Arbitration & Mediation Services) and shall be heard by a single arbitrator pursuant to the JAMS Arbitration Rules and Procedures then in effect. To begin an arbitration proceeding, submit your Dispute at www.jamsadr.com and simultaneously send a copy to us at contact@yogawithlisa.ai. If an in-person hearing is necessary, it will proceed in Alameda County, California, unless otherwise agreed.
EACH PARTY AGREES THAT IT SHALL BRING ANY DISPUTE IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. DISPUTES SHALL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS, AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR DOES NOT HAVE THE POWER TO VARY THESE PROVISIONS.
Under California Civil Code Section 1789.3, California users may contact the California Department of Consumer Affairs, Complaint Assistance Unit at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (800) 952-5210, with questions or complaints regarding the Site.

These Terms and the Privacy Policy collectively constitute the entire agreement between you and Yoga with Lisa regarding your use of the Site and Services. These Terms shall be construed in accordance with the laws of the State of Delaware without regard to its conflict of laws rules. If for any reason a Dispute proceeds in court, you agree that any such Dispute may only be instituted in a state or federal court located in Delaware, and you irrevocably consent to the exclusive personal jurisdiction and venue of such courts.
We may assign our rights and obligations under these Terms at any time without notice. You may not assign these Terms or any rights or obligations hereunder without our prior written consent. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision shall not constitute a waiver.
